Penrose Ave provides a technology platform that allows Families and Households to create accounts, post household service opportunities, search for Household Professionals, review profiles, and make an initial connection with Household Professionals. Penrose Ave also allows Household Professionals to create accounts, post profiles, describe services, list experience, indicate availability, respond to opportunities, and make an initial connection with Families and Households.

Penrose Ave may provide limited communication tools, including in-platform chat or messaging features, to facilitate communications between users. However, Penrose Ave does not manage or supervise the underlying relationship between users. Users are solely responsible for all interviews, contracts, hiring decisions, scheduling, services, payments, reimbursements, cancellations, refunds, disputes, and legal obligations arising from their relationship.

Payments for services between users are handled outside the platform through third-party payment processors, such as Stripe, or through other arrangements determined directly between users. Penrose Ave is not a party to those payment transactions and is not responsible for payment disputes, chargebacks, refunds, unpaid amounts, or other issues arising from payments between users.

Penrose Ave may change, update, add, remove, suspend, restrict, or discontinue any portion of the platform at any time. We are not required to continue offering any particular feature, service, design, communication tool, free access level, account feature, profile feature, posting feature, or user benefit.

Penrose Ave is not a party to any agreement, arrangement, employment relationship, service relationship, hiring relationship, independent contractor relationship, household employment relationship, or other relationship formed between users.

Penrose Ave is a technology platform only. Penrose Ave does not employ Household Professionals, does not act as an employer, does not act as an employment agency, does not act as a staffing agency, does not act as a placement agency, does not act as a referral agency, does not act as an agent for any user, and does not create an employment, agency, joint venture, partnership, franchise, fiduciary, contractor, or representative relationship with or between users.

Penrose Ave does not guarantee the quality, safety, legality, suitability, reliability, timeliness, qualifications, experience, credentials, licenses, insurance, background, identity, character, truthfulness, accuracy, or conduct of any user.

Penrose Ave does not conduct background checks, criminal history checks, driving record checks, identity verification, reference checks, credential checks, license checks, sex offender registry checks, child abuse registry checks, employment eligibility checks, household screening, family screening, or any other vetting of Families, Households, Household Professionals, or other users.

Users are solely responsible for conducting their own due diligence before communicating with, meeting, hiring, working for, engaging, entering into an agreement with, inviting into a home, entering another person's home, allowing access to children, allowing access to vulnerable individuals, allowing transportation, exchanging payment with, or otherwise interacting with another user.

Families and Households are solely responsible for interviewing, screening, vetting, performing background checks, verifying identity, checking references, reviewing qualifications, confirming licenses, verifying insurance, evaluating suitability, supervising services, and selecting any Household Professional they choose to communicate with, meet, hire, or engage.

Household Professionals are solely responsible for evaluating Families and Households, confirming the safety and suitability of any work opportunity, verifying the identity of any Family or Household, reviewing expectations, confirming work location, confirming compensation terms, assessing household conditions, and deciding whether to communicate with, meet, work for, or provide services to any Family or Household.

Penrose Ave strongly encourages users to take appropriate safety precautions, including conducting interviews, checking references, confirming identity, obtaining background checks where appropriate, meeting in safe locations before any in-home services begin, not sharing highly sensitive information prematurely, supervising interactions involving children, and complying with all applicable laws.

Penrose Ave is not an emergency service. If you believe that you, a child, a household member, a Household Professional, or any other person is in immediate danger, you should contact emergency services, law enforcement, or the appropriate authorities.

You must be at least 18 years old to access or use Penrose Ave. By accessing or using Penrose Ave, you represent and warrant that you are at least 18 years old, legally able to enter into a binding agreement, and legally permitted to use the platform.

If you are using Penrose Ave as a Household Professional, you represent and warrant that you are legally permitted to work in the United States, legally permitted to provide the services you offer, and able to comply with all applicable laws, regulations, licensing requirements, tax obligations, and professional obligations related to the services you offer.

If you are using Penrose Ave as a Family, Household, Client, or Service Seeker, you represent and warrant that you are legally permitted to seek household services and able to comply with all applicable laws, regulations, tax obligations, payroll obligations, household employment obligations, worker classification obligations, and other obligations related to any relationship you establish.

You may not use Penrose Ave if you have been suspended or removed from the platform, if you have been prohibited from using the platform, if you are using the platform for unlawful purposes, or if your use would violate these Terms of Use or applicable law.

You agree to provide accurate, current, and complete information when creating an account and to update your information as needed. You may not create an account using false information, misleading information, another person's information, or information you do not have the right to use.

You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account. You may not share, sell, transfer, assign, lend, or permit another person to use your account. You must notify us promptly if you believe your account has been accessed without authorization or if your login credentials have been compromised.

Penrose Ave is not liable for any loss, damage, claim, dispute, or unauthorized activity arising from your failure to maintain the security of your account.

Users may access and use Penrose Ave for lawful purposes only and only in accordance with these Terms of Use.

You agree not to:

• Post content that infringes on the trademark, copyright, proprietary, privacy, publicity, or other rights of any entity or individual
• Post personal data belonging to another person, including exact addresses, Social Security numbers, financial account information, security codes, alarm codes, custody information, or medical records
• Post content that is obscene, defamatory, pornographic, sexually explicit, exploitative, abusive, threatening, harassing, discriminatory, hateful, violent, fraudulent, misleading, illegal, or otherwise objectionable
• Use Penrose Ave to harass, threaten, stalk, exploit, groom, abuse, intimidate, defraud, harm, or attempt to harm another person
• Use Penrose Ave to solicit, facilitate, promote, or engage in unlawful conduct, unsafe conduct, sexual services, human trafficking, child exploitation, fraud, financial scams, identity theft, or unauthorized data collection
• Use any robot, scraper, spider, crawler, automated tool, data mining tool, extraction tool, or artificial intelligence scraping tool to access, copy, extract, harvest, manipulate, or compile data from Penrose Ave
• Use another user's account, create multiple accounts for deceptive purposes, or attempt to re-register after termination without permission
• Interfere with the operation, security, or availability of Penrose Ave
• Use contact information obtained through Penrose Ave for commercial solicitation, spam, marketing, or data aggregation
• Publish or link to malicious content, malware, viruses, or code intended to damage, disrupt, or intercept another user's device, account, or data

Users may include limited child-related information reasonably necessary for matching purposes, such as number of children, general age ranges, and general caregiving needs. Users should not publicly post children's full names, school names or locations, medical diagnoses, photographs of children without appropriate consent, or identifying personal details relating to children.

Users should not publicly post alarm or security system details, access codes or entry instructions, information about valuables, financial account information, or highly personal family matters unrelated to legitimate platform use.

"User Content" means any communications, text, photographs, images, videos, audio, reviews, ratings, profiles, job postings, service descriptions, messages, comments, responses, applications, availability, pricing, references, credentials, feedback, suggestions, data, or other information you post, upload, transmit, send, publish, display, provide, or otherwise make available through Penrose Ave.

You are solely responsible for your User Content. You represent and warrant that your User Content is accurate, current, lawful, not misleading, and that you have all rights, permissions, and authority necessary to post or provide it.

You understand that User Content may be visible to other users, and depending on platform settings, may be visible to visitors, search engines, third-party websites, or other services. You should not post anything on Penrose Ave that you do not want other users to see, save, copy, screenshot, download, share, or use.

Penrose Ave may, in its sole discretion, review, edit, restrict, reject, remove, disable, or delete any User Content in whole or in part if we determine that it violates these Terms of Use, violates our policies, may create legal liability, may harm users, may threaten safety, may be inappropriate, may be illegal, or may otherwise be objectionable. Penrose Ave has no obligation to monitor all User Content and no obligation to remove any particular User Content.

By posting, uploading, submitting, transmitting, or otherwise making User Content available through Penrose Ave, you grant Penrose Ave an irrevocable, perpetual, non-exclusive, fully paid, royalty-free, transferable, sublicensable, worldwide license to use, copy, reproduce, display, perform, publish, distribute, modify, adapt, create derivative works from, and otherwise use your User Content in connection with operating, providing, improving, promoting, protecting, and administering Penrose Ave.

No User Content will be treated as confidential unless expressly agreed in a separate written agreement signed by Penrose Ave. Your submission of User Content does not create a confidential, fiduciary, employment, agency, or professional relationship between you and Penrose Ave.

Penrose Ave does not currently offer, conduct, facilitate, review, verify, or provide background checks, identity verification, credential verification, reference checks, license checks, driving record checks, criminal history checks, sex offender registry checks, child abuse registry checks, employment eligibility checks, household screening, family screening, or any other vetting of Families, Households, Household Professionals, or other users.

Penrose Ave does not represent or warrant that any user has been screened, investigated, verified, or approved by Penrose Ave. Penrose Ave does not guarantee that any user is safe, trustworthy, truthful, qualified, suitable, legally permitted to work, legally permitted to hire, properly licensed, properly insured, or free from criminal history, civil complaints, misconduct, safety concerns, or other risk.

Users are solely responsible for conducting their own screenings, interviews, reference checks, background checks, identity checks, credential checks, license checks, and other due diligence.

Penrose Ave does not employ Household Professionals. Penrose Ave does not create an employment, agency, joint venture, partnership, fiduciary, franchise, independent contractor, representative, or payroll relationship between Penrose Ave and any user by allowing access to or use of the platform.

Families, Households, and Household Professionals are solely responsible for determining the terms of any engagement, including compensation, scheduling, duties, location, work conditions, supervision, taxes, insurance, classification, payroll, wage and hour compliance, household employment law compliance, worker eligibility, contracts, termination, and any other legal or practical requirements associated with their relationship.

If a Family or Household hires, engages, pays, or otherwise works with a Household Professional, the Family or Household is solely responsible for determining whether the Household Professional is an employee, independent contractor, household employee, or other worker classification under applicable law, and for complying with all applicable tax, wage, hour, payroll, insurance, reporting, employment, household employment, and worker classification obligations.

Penrose Ave may provide some or all platform access for free, through promotional offers, discount codes, free trial periods, or other limited-time access programs. Penrose Ave may charge fees for certain access, subscriptions, memberships, listings, account features, profile features, posting features, search features, or other platform features.

You shall pay any and all applicable fees and taxes for purchases, subscriptions, or paid features you make through Penrose Ave. By making a purchase, you authorize Penrose Ave or our third-party payment processor to charge your credit card, debit card, bank account, digital wallet, or other payment method for the full payment of fees and applicable taxes.

Fees paid to Penrose Ave are for access to or use of Penrose Ave features. Fees paid to Penrose Ave are not payments to Household Professionals, payments for household services, wages, reimbursements, deposits, escrow funds, or payments made on behalf of another user.

Subscriptions, memberships, free trial offers, discounted promotional access, or other recurring fee-based services may automatically renew unless canceled in accordance with the instructions disclosed at the time of purchase, signup, promotional offer, or in your account settings.

By purchasing a subscription, membership, or recurring fee-based service, you authorize Penrose Ave or its third-party payment processor to charge your payment method on a recurring basis at the rate and frequency disclosed at the time of purchase, plus applicable taxes, until you cancel.

If you cancel a paid subscription, you may continue to have access until the end of the then-current subscription term unless otherwise stated at the time of purchase. Cancellation does not necessarily entitle you to a refund for the current term.

Except as expressly stated in these Terms, disclosed at the time of purchase, or required by applicable law, all payments to Penrose Ave are non-refundable. There are no refunds or credits for unused or partially used subscriptions, memberships, services, products, account features, listing fees, or other paid features.

If Penrose Ave suspends, restricts, or terminates your account because we determine that you violated these Terms, misrepresented information, misused the platform, created safety concerns, failed to meet eligibility requirements, engaged in fraud, or otherwise acted in a manner unsuitable for the platform, you will not be entitled to a refund of any unused portion of any payment, unless required by law.

By accessing or using Penrose Ave, you expressly agree to release and hold harmless Penrose Ave, its owners, members, managers, officers, directors, employees, contractors, agents, representatives, affiliates, successors, assigns, licensors, service providers, advertisers, and business partners from any claim, dispute, controversy, loss, liability, injury, death, damage, cost, or expense arising out of or relating to:

• Your interactions with any user, whether online or offline
• Any services requested, offered, provided, performed, paid for, or not performed by any user
• Any agreement, arrangement, employment relationship, or other relationship formed between users
• Any communication, agreement, contract, payment, scheduling, cancellation, refund, reimbursement, dispute, or service issue occurring outside the platform
• Any injury, death, property damage, emotional distress, financial loss, childcare-related issue, household-related issue, transportation issue, employment issue, tax issue, insurance issue, classification issue, or other harm arising from user interactions
• Any information, instruction, advice, review, rating, reference, profile, posting, message, or other content created, posted, transmitted, or communicated by any user or third party

You acknowledge that using an online platform to connect with individuals for household services, childcare, in-home help, transportation, family assistance, or related services involves inherent risks. These risks may include personal injury, illness, death, property damage, theft, fraud, harassment, emotional distress, unsafe conditions, misconduct, nonpayment, negligent supervision, misrepresentation, unlawful conduct, and other harms.

You agree to assume all risks associated with your use of Penrose Ave, including risks associated with online and offline interactions with users, meetings with users, hiring users, working for users, entering a home, inviting someone into your home, allowing someone to interact with children or family members, allowing transportation, exchanging payment, relying on user content, communicating off-platform, or forming any relationship through the platform.

This website, mobile application, platform, services, content, user content, communication tools, search tools, profile features, job posting features, subscription features, account features, and any other features are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

To the fullest extent permitted by law, Penrose Ave disclaims all warranties, including warranties of title, merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, security, and any warranties arising from course of dealing, course of performance, or usage of trade.

Penrose Ave makes no representation or warranty that any Family, Household, Household Professional, or other user is safe, trustworthy, qualified, eligible, licensed, insured, experienced, truthful, suitable, or legally permitted to provide or receive services.

You use Penrose Ave at your own risk.

To the fullest extent permitted by law, Penrose Ave shall not be liable for any direct, indirect, special, incidental, consequential, exemplary, punitive, or other damages, losses, or expenses arising out of or related to your use of or inability to use Penrose Ave, even if Penrose Ave has been advised of the possibility of such damages.

In any and all circumstances, your maximum remedy and the maximum liability of Penrose Ave, whether in contract, tort, negligence, strict liability, statute, or otherwise, shall be limited to the fees you paid to Penrose Ave in connection with the services or products purchased during the three-month period immediately preceding the events giving rise to your claim. If you have not paid Penrose Ave any fees during that period, Penrose Ave's maximum liability shall be $100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, Penrose Ave's liability shall be limited to the fullest extent permitted by law.

By accessing or using Penrose Ave, you agree to indemnify, defend, and hold harmless Penrose Ave, its owners, members, managers, officers, directors, employees, contractors, agents, representatives, affiliates, successors, assigns, licensors, service providers, advertisers, and business partners from and against any and all losses, damages, expenses, liabilities, causes of action, claims, demands, judgments, settlements, penalties, fines, costs, and attorneys' fees arising out of or related to:

• Your hiring, employment, independent contractor, household employment, payroll, tax, wage, hour, insurance, classification, or legal obligations
• Your negligence, misconduct, fraud, misrepresentation, unsafe conduct, unlawful conduct, or failure to comply with these Terms

Penrose Ave reserves all rights to all content, information, data, text, logos, design elements, headers, service marks, trademarks, photographs, images, videos, platform design, software, code, graphics, color schemes, artwork, layout, features, databases, compilations, and other materials published or made available through Penrose Ave.

By accessing and using Penrose Ave, Penrose Ave grants you a limited, non-transferable, non-sublicensable, revocable license to access and use the platform for your own lawful, personal, household, or professional use in accordance with these Terms of Use.

No other use of Penrose Ave content is permitted without the express written consent of Penrose Ave. You may not copy, reproduce, repost, scrape, extract, alter, manipulate, sell, distribute, modify, create derivative works from, reverse engineer, or otherwise exploit any intellectual property or proprietary content belonging to Penrose Ave without our express written consent.
